EXHIBITOR AGREEMENT

This Agreement is made between COLOUR HAIKU, owned by Invisible Industries LLC (“Colour Haiku,” “CH,” or “Show”), and the signee (“Exhibitor”), for participation in the event taking place on: 
May 31, 2025, at Gabba Gallery in Los Angeles.

Table Space
Colour Haiku grants Exhibitor table space at the event. Space usage is contingent upon full payment. Exhibitor will display and sell merchandise. Exhibitors must comply with all local, state, and federal laws. This is a revocable license, not a rental, subject to the terms in this Agreement. Required table cloths and poster clips are not included as part of the purchased space.

Space Use
Exhibitor agrees to keep the space open for exhibition and sales during event hours. Exhibitor must maintain the table space in a clean and attractive manner and comply with all local fire, health, safety, and other applicable laws and regulations. Exhibitor further agrees to abide by all rules and regulations announced by CH regarding the conduct and character of the Show and exhibits within the Show.

Exhibitor Responsibilities & Warranties

•No AI-Generated Artwork – AI-generated work is strictly prohibited for sale at this event.

•Accurate Representation – Exhibitor must truthfully represent all items for sale, including details such as age, origin, and authenticity. Exhibitor assumes full responsibility for any misrepresentation, whether negligent or intentional.

•Intellectual Property Rights – Exhibitor must obtain all necessary rights, permissions, licenses, and clearances for any intellectual property, including copyrights and trademarks, in connection with exhibited items.

•Taxes & Permits – Exhibitor is solely responsible for all applicable taxes, legal documentation, and seller’s permits as required by law.

Termination
CH reserves the right to terminate this Agreement in the event of non-compliance with terms, disruptive behavior, or violations of event rules. CH may remove furnishings, equipment, merchandise, and displays from the premises immediately if necessary.

Assignment / Employees and Agents
Table assignments are at the sole discretion of CH, and Exhibitor agrees to accept the assigned table. Exhibitor must provide CH, in advance, with the names of all employees, agents, or individuals working in the table space. Exhibitor may not assign this Agreement without CH’s written consent. Any unauthorized assignment is void.

Waiver & Liability Release
Exhibitor assumes full responsibility for any loss, theft, damage, or liability related to their participation, including property damage and legal claims. Exhibitor indemnifies Colour Haiku, Invisible Industries LLC, Gabba Gallery, event sponsors, and all affiliates from any claims, lawsuits, or damages arising from participation in the event. In case of disputes, neutral and binding arbitration will be conducted in California, with the losing party covering arbitration costs.

Acceptance & Electronic Signature
By signing electronically, Exhibitor affirms they have read, understood, and agreed to all terms. The signee represents they have legal authority and are of legal age to enter into this contract. An electronic signature is legally binding and holds the same effect as a physical signature.
